Introduction:
Corporate Secretary (SET and SEC regulations)
Responsibilities:
- Bachelor\'s degree in Business Administration, Finance, Law, or related field. Advanced degrees (e.g., MBA, JD) preferred.
- Proven experience (5+ years) in corporate secretarial functions and investor relations, preferably in a publicly traded company or professional services firm.
- In-depth knowledge of corporate governance principles, securities regulations, and financial markets.
- Familiarity with Thailand\'s corporate laws, regulations, and Stock Exchange requirements.
- Excellent communication skills, both verbal and written, with the ability to effectively communicate complex information to diverse audiences.
- Strong interpersonal skills and the ability to build relationships with internal and external stakeholders, including board members, executives, investors, analysts, and regulators.
- Analytical mindset with the ability to interpret financial data and market trends.
- Detail-oriented with strong organizational and time management skills.
- Proficiency in Microsoft Office Suite and investor relations management software.
Requirements:
- Organize and prepare agendas for board meetings, committee meetings, and general meetings.
- Record and maintain accurate minutes of meetings and resolutions.
- Ensure compliance with legal and regulatory requirements, including filing necessary documents with relevant authorities.
- Assist in drafting and reviewing corporate governance policies and procedures.
- Liaise with external legal counsel on corporate matters.
- Maintain corporate records and registers, including shareholders\' records and board documents.
- Facilitate communication between the board of directors, management, and shareholders.
- Provide guidance to the board on corporate governance best practices and regulatory changes.
- Coordinate the annual general meeting (AGM) and other shareholder meetings.
- Handle correspondence and communication related to corporate matters.
- Monitor and analyze market trends, shareholder activism, and competitor activities to provide insights to management and the board.
